Terms of Service

1. About these Terms

TenderNadi is a tender and opportunity intelligence platform operated by Primexa Technologies Sdn. Bhd., a company registered in Brunei Darussalam (Registration No. RC30000980) at No. 5, Spg 560-42, Kg Sg Hanching, BC 2115 Jln Muara, Brunei Darussalam ("we", "us").

These Terms govern your use of the TenderNadi website, web app and related services (the "Service"). By creating an account or ticking "I agree", you accept these Terms on behalf of yourself and the company you represent (the "Customer").

• You must be at least 18 and authorised to bind the Customer.
• Our Privacy Notice explains how we handle personal data and forms part of these Terms.
• If you do not agree, do not use the Service.

2. Accounts and users

• Each subscription includes 1-3 named users. Additional users can be added at any time for an extra fee.
• Logins are personal. Sharing one login between people is not allowed.
• You are responsible for keeping credentials secure and for all activity under your account.
• Tell us promptly at info@primexa.tech if you suspect unauthorised access.
• Account details you give us must be accurate and kept up to date.

3. Free trial

• New Customers may receive a 7-day free trial covering 1 sector, once per company.
• No payment is taken during the trial.
• At the end of the trial, access stops. The trial never converts to a paid plan automatically, and no payment details are collected during it. To continue, choose a plan and pay the invoice we send.
• We may change or withdraw the trial offer at any time.

4. Plans, billing and renewal

5. No refunds

All fees are non-refundable once paid, including for partial periods, unused users or unused sectors. Choosing not to renew does not refund the current monthly or yearly period. This does not limit any rights you have under Brunei law that cannot be excluded.

6. Tender information

TenderNadi gathers tender and opportunity information from government agencies, government-linked companies (GLCs), private companies and other public sources.

• No affiliation. TenderNadi is not affiliated with, endorsed by or acting for any government ministry, agency, GLC or tendering body.
• Verify before acting. Information may be incomplete, delayed or changed by the issuer. Always confirm closing dates, requirements and documents with the official issuing source before bidding.
• No guarantee of outcome. We do not guarantee that you will find, qualify for or win any tender.
• Official documents. Tender documents remain the property of their issuers. Purchase or collection rules set by issuers still apply.

7. AI features

TenderNadi uses AI for tender finding and company matching (for example, relevance scores and suggested opportunities based on your company profile).

• AI results are suggestions to support your own judgement. They are not legal, financial or procurement advice.
• AI can miss relevant tenders or suggest unsuitable ones. You remain responsible for every bid decision.
• Your company profile and preferences are used to personalise matches, as described in the Privacy Notice.
• We do not permit our AI providers to train their models on your data. [Confirm with your AI provider's terms.]

8. Acceptable use

You must not:

• Scrape, bulk-download, copy or resell tender data or content from the Service.
• Share the Service or its outputs with non-subscribers as a competing or repackaged service.
• Reverse engineer, probe or disrupt the Service, or bypass usage limits.
• Upload unlawful content or use the Service to break any law, including procurement rules.
• Create multiple trial accounts.

We may suspend accounts that breach this section.

9. Intellectual property

• We own the Service, its software, design, the TenderNadi name and the way tender data is compiled and presented.
• You get a limited, non-transferable right to use the Service for your own business during your subscription.
• You own the company information you upload. You allow us to use it to provide and improve the Service.
• Feedback you send us may be used without obligation to you.

10. Service availability

We aim to keep the Service available but do not guarantee uninterrupted access. We may carry out maintenance, change features or update sources. We will give reasonable notice of material changes where we can.

11. Disclaimers and liability

• The Service is provided "as is" and "as available".
• We are not liable for lost bids, lost profits, lost opportunities or indirect losses, including those caused by inaccurate or late tender information.
• Our total liability in any 12-month period is limited to the fees you paid in the 12 months before the claim.
• Nothing in these Terms excludes liability that cannot be excluded under Brunei law.

12. Suspension and termination

• You may stop using the Service and cancel at any time (see section 4).
• We may suspend or close an account for non-payment, breach of these Terms or legal requirements.
• After closure, account data is handled as set out in the Privacy Notice. You can request an export of your saved data within 30 days.

13. Changes to these Terms

We may update these Terms. For material changes we will notify account owners by email or in-app at least 14 days before they take effect. Continued use after that date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Brunei Darussalam. Disputes will be handled by the courts of Brunei Darussalam, after both parties first try in good faith to resolve them within 30 days.
